Corporate Governance Officer

Scope of Authority

A resolution was passed at the meeting of the TASC Board of Directors on December 27, 2023, appointing Lily Chen, the Assistant Manager of Intellectual Property and Legal Affairs Department as the Corporate Governance Officer (CGO) to safeguard shareholder interests and strengthen the competency of the Board. The CGO is mainly responsible for matters related to corporate governance including assisting with compliance, greater transparency in disclosures, establishing a corporate culture of ethical management, and the sound development of related activities.

The primary responsibility of the corporate governance officer is to organize Board and shareholders’ meetings, prepare the minutes of Board and directors’ meetings, assist directors with taking up their duties and their continuing education, provide directors with the information they need to carry out their duties, and assist with compliance matters.

An overview of 2024 business activities is provided below:

  1. Board meetings and shareholders’ meeting were organized in accordance with the law.
  2. Prepared the agenda for Board and shareholders’ meetings.
  3. Arranged and assisted with continuing education courses for directors.
  4. Provided directors and independent directors with the information they need for performing their duties and compliance.
  5. Assisted directors and independent directors with compliance.
  6. Other matters as stipulated in the Articles of Incorporation or contracts.
  7. Maintained the exchange of information and opinions between the directors and management, and between members of the Board of Directors.

Initiatives

  1. Ethical Management

Physical seminars and online courses were hosted by TASC in 2021 to educate management personnel and all employees on integrity and ethics. Integrity and ethics were also made a core component of new hire training.

  1. Trade Secrets

Trade secrets have always been a core area of concern for TASC, in addition to promoting TASC colleagues, the concept of trade secrets has also been incorporated into the education and training courses for new recruits to strengthen publicity. At the same time, TASC also establishes control measures for confidential documents, and strengthens colleagues’ advocacy and implementation of the labeling and storage methods of confidential documents.

  1. Intellectual property rights management

In order to strengthen the basic acknowledge of TASC employees on intellectual property rights, TASC will include the basic concepts of intellectual property and the information that should be sought from relevant units within TASC when encountering intellectual property disputes, etc., into the education and training courses for new recruits from 2022.In addition, we regularly organize patent application education and training for specific personnel to popularize their intellectual and financial knowledge.
